Terms of Use

These Terms of Use (the “Terms”) are a binding agreement between you and IPOPBOOKS (“IPOPBOOKS”, “we”, “us”) governing your access to and use of our website, applications, and bookkeeping services (together, the “Services”). By creating an account or using the Services, you agree to these Terms.

1. The Services

IPOPBOOKS provides software-assisted bookkeeping for U.S. small businesses, combining automated transaction categorization with review by a human bookkeeper. The Services do not constitute accounting, tax, audit, legal, or financial advice, and we are not your CPA or tax preparer unless separately agreed in writing.

2. Eligibility & accounts

You must be at least 18 years old and authorized to act on behalf of the business you register. You are responsible for the accuracy of the information you provide and for keeping your login credentials confidential. You are responsible for all activity that occurs under your account.

3. Subscriptions, trials & billing

  • Paid plans are billed in advance on a recurring basis through our payment processor. Prices are shown on our pricing page and may change with notice.
  • Free trials, where offered, convert to a paid subscription unless you cancel before the trial ends.
  • You can cancel at any time; cancellation stops future renewals. Except where required by law, payments already made are non-refundable.

4. Bank connections & your data

To deliver the Services we connect to your financial accounts through our third-party aggregation provider (Quiltt and its underlying providers). You authorize us to access and process your transaction data for the purpose of providing bookkeeping. You retain ownership of your data; we process it as described in our Privacy Policy.

5. Acceptable use

You agree not to misuse the Services, including by attempting to gain unauthorized access, interfering with normal operation, reverse engineering, or using the Services to violate any law or third-party right.

6. Third-party services

The Services rely on third parties (for example, bank aggregation, payment processing, cloud hosting, and email delivery). Your use of those services may be subject to their own terms, and we are not responsible for their acts or omissions.

7. Disclaimers

The Services are provided “as is” and “as available” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or that any categorization or report is complete or accurate.

8. Limitation of liability

To the maximum extent permitted by law, IPOPBOOKS will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or data. Our total liability for any claim arising out of or relating to the Services will not exceed the amount you paid us in the twelve months before the event giving rise to the claim.

9. Termination

You may stop using the Services at any time. We may suspend or terminate your access if you breach these Terms or if necessary to protect the Services or other users. Provisions that by their nature should survive termination will survive.

10. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will take reasonable steps to notify you. Your continued use of the Services after the changes take effect constitutes acceptance.

11. Governing law

These Terms are governed by the laws of the United States and the state in which IPOPBOOKS is established, without regard to conflict-of-laws rules.
